Analysis
Eli Lilly and Innovent Biologics announced their initial strategic alliance on March 20, 2015, to develop and potentially commercialize at least three cancer treatments over the following decade. Innovent was assigned development and manufacturing for the China market, Lilly was assigned commercialization of the three potential medicines, and Innovent received co-promotion rights in China. The original portfolio combined Lilly's c-Met antibody program with Innovent's CD20 antibody and a preclinical immuno-oncology molecule; Lilly also received rights to develop and commercialize up to three preclinical bispecific molecules outside China. Innovent received $56 million upfront, with additional milestone and royalty payments tied to specified outcomes. [1]
In October 2015, the parties expanded the alliance to as many as three anti-PD-1-based bispecific antibodies. Lilly received rights outside China, while Innovent received China development, manufacturing and commercialization rights subject to a Lilly opt-in for co-development and commercialization. The expansion contemplated more than $1 billion in additional milestones if the products achieved development, regulatory and sales milestones, with further royalties and payments on certain products. [2]
A major product-specific expansion followed in August 2020, when Lilly obtained an exclusive license for sintilimab, marketed in China as Tyvyt, outside China; Innovent and Lilly continued to co-commercialize Tyvyt in China. The agreement provided Innovent $200 million upfront, potential development and commercial milestones of up to $825 million, and tiered double-digit royalties, while both companies retained rights to study Tyvyt in combination with other medicines. [3]
The relationship also covers later China commercialization arrangements. In March 2022, Innovent received sole commercialization rights in Mainland China for Cyramza and Retsevmo and a right of first negotiation for Jaypirca; in December 2024, Innovent became responsible for Jaypirca importation, marketing, distribution and promotion while Lilly retained research and development and post-market medical affairs. On February 8, 2026, the companies announced their seventh collaboration: Innovent would lead novel oncology and immunology programs through Phase 2 proof of concept in China, while Lilly received exclusive rights outside Greater China. That agreement provided $350 million upfront, up to approximately $8.5 billion in contingent milestones, and tiered royalties outside Greater China. [4] [5]
