The Walt Disney Company + Shanghai Shendi Group

Shanghai Disney Resort is a joint development between The Walt Disney Company and Shanghai Shendi (Group) Co., Ltd., a Shanghai municipal government-owned company. [1] [2] Disney's fiscal 2025 annual report says Disney owns 43 percent of the resort while Shendi owns 57 percent; a separate management company operates the resort, with Disney holding 70 percent and Shendi 30 percent. [1]

The original project structure was announced with approximately RMB 24.5 billion for the theme park and RMB 4.5 billion for hotels and the retail, dining and entertainment district, with financing contributions divided in proportion to the owner-company stakes. [3] Disney and Shendi broke ground in April 2011, and Shanghai Disneyland opened on June 16, 2016, as the first Disney theme park in mainland China. [3] [4]

The resort is designed as an integrated destination rather than a stand-alone park. [1] Disney's latest filing describes approximately 1,000 acres in Pudong containing Shanghai Disneyland, two themed hotels, Disneytown and an outdoor recreation area. [1] The theme park now has eight themed areas, including Zootopia. [1] The management company receives a performance-based management fee, while Disney is also entitled to royalties based on resort revenue. [1]

Expansion is an ongoing feature of the arrangement. [5] Disney reports that the resort has added themed lands and ride capacity and has projects underway including a Spider-Man-themed land, an expansion of Soaring Over the Horizon and additional hotels. [5] The Zootopia land opened in 2023 as a major expansion, and the public ownership and operating structure combines Chinese majority ownership of the resort assets with Disney majority control of management, creative development and licensed brand operations. The Walt Disney Company traces its official start to October 16, 1923, when Walt Disney signed a distribution contract for the Alice Comedies and formed the Disney Brothers Cartoon Studio with his brother Roy. That cross-platform structure explains Disney’s relevance to partnership records. A single story or franchise can be connected to film and television production, streaming distribution, sports or broadcast platforms, consumer products, and physical experiences, but the legal counterparty may be a specific Disney subsidiary or brand rather than the parent company. Shanghai Shendi Group’s official company report says it was established on August 8, 2010, with Shanghai government approval, as a functional state-owned enterprise group. The report assigns it responsibility for land development, infrastructure construction and related industry development in Shanghai International Tourism and Resorts Zone, as well as joint investment, construction, management and operation of the Shanghai Disney project with The Walt Disney Company. Shendi’s current project page continues to identify Shanghai Disney Resort as a group project. [1] [4]

The ownership structure is deliberately split between resort assets and management. Disney’s 2025 SEC filing reports that Shendi owns 57 percent of Shanghai Disney Resort and Disney owns 43 percent; the management company is instead 70 percent owned by Disney and 30 percent by Shendi. The filing also describes the resort as a Pudong destination containing Shanghai Disneyland, two themed hotels, Disneytown and an outdoor recreation area. [2]

Shendi’s current development role extends beyond the theme-park gates. A 2025 Shanghai Disney Resort release says a new employee residential community was invested by Shendi, constructed by Shanghai Urban Construction Municipal Engineering and developed and managed by a Shendi subsidiary. The project was described as the first development in the resort’s south parcel and includes housing, a sports center, food-and-beverage services, shared recreation and landscaped outdoor areas. That activity is consistent with Shendi’s stated remit for destination infrastructure and related tourism-zone development. [3]
